1. Definitions

In these Terms & Conditions:

• "Mynexlume", "we", "us", "our" refers to Mynexlume, registered in Malaysia, located at 36 Persiaran KLCC, 50088 Kuala Lumpur.
• "Service" refers to the AI services described on this website, including Sentiment Analysis Platform, Workflow Automation with AI, and Proof of Concept Development.
• "User" or "you" refers to any person accessing this website or engaging Mynexlume's services.
• "Agreement" refers to these Terms & Conditions together with any signed engagement agreement.
• "Content" refers to all materials on this website, including text, images, and code.

2. Acceptance of Terms

By accessing this website or engaging Mynexlume's services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use this website or engage our services.

You must be at least 18 years of age and have legal capacity to enter a binding agreement to engage our services. By doing so, you represent that you meet these requirements.

3. Service Description

Mynexlume provides AI consulting and development services to business clients. Services are described on this website and may be detailed further in individual engagement agreements. Service availability may be limited by current capacity.

We reserve the right to decline any engagement enquiry at our discretion.

For service engagements, intellectual property ownership of deliverables will be specified in the individual engagement agreement. Generally, deliverables are transferred to the client upon full payment, while Mynexlume retains rights to methodologies and pre-existing tools.

6. Payment Terms

Service pricing is published on this website in Malaysian Ringgit (RM). Final pricing for each engagement is confirmed in the engagement agreement before work begins.

Payment terms, including deposit requirements and milestone payments, will be detailed in the individual engagement agreement. Services will not commence until a signed agreement and any required deposit are received.

Late payments may result in suspension of work. We reserve the right to charge interest on overdue amounts at a rate consistent with Malaysian commercial practice.

7. Service Delivery Terms

Each engagement will have a defined scope document agreed before work begins. Timelines are estimates based on assumptions about data availability and client responsiveness. Delays caused by late provision of required materials or feedback may extend the timeline proportionally.

Changes to the agreed scope will be discussed and agreed in writing before any additional work proceeds. Out-of-scope work may require a revised agreement and additional fees.

8. Confidentiality

Both parties agree to maintain confidentiality of the other party's proprietary information during and after the engagement. Mynexlume will sign a Non-Disclosure Agreement before accessing any client data. Specific confidentiality terms will be set out in the engagement agreement.

9. Disclaimers

This website and its content are provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted or error-free.

AI systems, including those built by Mynexlume, are probabilistic in nature and do not produce perfect results. We do not warrant that any deliverable will achieve specific performance metrics beyond those agreed and documented in the engagement scope.

Nothing in these Terms constitutes legal, financial, or professional advice. Outputs from AI systems should be reviewed by qualified personnel before use in business decisions.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law, Mynexlume's liability for any claim arising from these Terms or any engagement shall not exceed the total fees paid by the client for the relevant engagement.

We shall not be liable for indirect, consequential, incidental, or punitive damages, including loss of profit or business opportunity, even if we were advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Mynexlume and its personnel from any claims, losses, or expenses (including legal fees) arising from your use of our website, breach of these Terms, or use of deliverables in a manner inconsistent with the agreed scope or documentation.

12. Termination

Either party may terminate an engagement agreement in accordance with the termination provisions set out in that agreement. Mynexlume reserves the right to terminate access to this website for users who breach these Terms.

Upon termination of an engagement, any outstanding fees for work completed to that point remain payable. Confidentiality obligations survive termination.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of the dispute arising.

If negotiation is unsuccessful, disputes shall be submitted to the jurisdiction of the courts of Malaysia, specifically the courts of Kuala Lumpur.

14. General Provisions

• Entire Agreement: These Terms, together with any engagement agreement, constitute the entire agreement between the parties on the subject matter.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign rights under these Terms without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of this website or our services after posting constitutes acceptance of the revised Terms.
